Terms of Use & User Agreement

Cadoo is a health-accountability platform where you can host or join Challenges — including paid, real-money Challenges — with results verified by Cadoo. These Terms of Use (this “Agreement”) are a binding contract between you and Cadoo Inc. (“Cadoo,” “we,” or “us”). By registering for, accessing, or using Cadoo’s apps, websites (including www.cadoo.io and cadoo.games), or services (together, the “Services”), you agree to this Agreement and to our Privacy Policy, which is incorporated by reference.

Please read Section 17 (Arbitration & Class-Action Waiver) carefully — it requires most disputes to be resolved by binding individual arbitration. We may update this Agreement from time to time; we will post changes here and update the revision date, and your continued use of the Services after changes take effect is your acceptance of them.

1Eligibility & Age

The Services are intended for adults. You must be at least 18 years old to deposit funds, enter any paid Challenge, host a paid Challenge, or withdraw winnings. If you are between 13 and 17, you may use the Services only for free Challenges and only with the verifiable consent of a parent or legal guardian who agrees to this Agreement on your behalf (an “Authorized Minor”). Anyone under 13 may not use the Services. By using the Services you represent that you meet these requirements. We may suspend or terminate any account we reasonably believe does not.

2Location Eligibility for Paid Play

Cadoo Challenges are contests of skill and effort, not games of chance. Outcomes are determined solely by verified participant activity over which participants have control.

Where Cadoo is available. Cadoo is offered on the App Store and Google Play in the following countries, and real-money play is available only to users located in them: the United States, Canada, United Kingdom, Ireland, Australia, New Zealand, Germany, France, Spain, Italy, Netherlands, Belgium, Austria, Portugal, Switzerland, Sweden, Denmark, Finland, Luxembourg, Czechia, Hungary, Romania, Greece, Croatia, Bulgaria, Slovakia, Slovenia, Lithuania, Latvia, Estonia, Cyprus, Malta, Poland, and South Africa. We maintain the current list of supported countries in the app; we may add or remove countries at any time.

Paid Challenges with real-money entry fees and cash prizes are offered only where permitted by law. By entering a paid Challenge, you represent and warrant that (a) you are physically located in a supported country listed above and in a jurisdiction where participation in paid skill-based contests is lawful, and (b) you are not on any applicable government sanctions or restricted-persons list. Certain U.S. states or other regions may restrict paid skill-based contests; where they do, Cadoo does not offer paid Challenges there, and the current list of any excluded regions is maintained in the app. Cadoo may use location and device signals to enforce these restrictions and may, in its sole discretion, limit any user or region to free play. You are responsible for ensuring your participation is lawful where you are.

3Your Account & Account Security

You agree to provide accurate, current, and complete registration information and to keep it up to date. You are responsible for safeguarding your password and for all activity under your account. Notify us promptly of any unauthorized use. You may register only one account; operating multiple accounts, or registering on behalf of another person or entity, is prohibited and may result in forfeiture of funds and termination. You may terminate your account at any time, but if you are in an ongoing Challenge you remain bound by that Challenge’s rules until it ends.

4Identity Verification (KYC)

To prevent fraud and comply with applicable law, Cadoo may require you to verify your identity — including submitting a government-issued ID and a photo/selfie to our verification provider — before you deposit funds, host Challenges, or withdraw winnings. Cadoo may delay, limit, or refuse any of these actions until verification is completed successfully, and may re-verify at any time. You agree to provide accurate identity information and authorize Cadoo and its verification provider to collect and process it as described in the Privacy Policy.

5How Challenges Work

You may create (“host”) or join Challenges. Each Challenge has rules — including its activity, goal, duration, entry amount, and how winners are determined — shown before you join. Challenges are broken into daily or periodic increments; to have activity counted, you must complete and, where required, sync or record it within the window stated in the Challenge rules. Hosts and organizers may set additional rules and have discretion to disqualify participants for rule violations or unsportsmanlike conduct; their decisions on such matters are final. Cadoo is not responsible for prizes, tips, or incentives offered directly by a host beyond the Cadoo prize pool. We cannot reverse disqualifications caused by uncharged, broken, unsynced, or lost devices.

6Workout Recording & Automated Verification

Certain Challenges require you to record video of your workout. You consent to Cadoo capturing that video and processing it with automated computer-vision technology (“CadooVision”) to detect, count, and score your movements in order to verify results. Cadoo uses this analysis only to verify Challenge activity, credit results, secure the integrity of contests, and generate shareable clips you choose to create. See the Privacy Policy for how workout video and the movement data derived from it are stored, used, and retained. Steps and distance for eligible activities are read from your device’s health data source (e.g., Apple Health or Google Health Connect) and cannot be entered manually.

7Fees

Cadoo charges fees for certain paid features. As of the last revision date these include: a service fee deducted from Challenge prize pools (disclosed at the point of entry); a deposit fee of 3.5% + $2 per deposit; and a withdrawal fee of 10% + $2 per withdrawal. Hosts may also be charged setup or processing fees, disclosed at the point of hosting. The current fee is always shown in the app before you confirm a paid action, and the fee shown at the time of your transaction governs that transaction. We may change our fees from time to time.

8Cadoo Points, Deposits & Withdrawals

Cadoo winnings and balances are held as Cadoo Points, valued at USD $1.00 per Point. Unexpired Points may be applied to new Challenges or redeemed for cash through PayPal or another Cadoo payment partner, subject to identity verification (Section 4) and the withdrawal fee (Section 7). Withdrawals typically become available within a reasonable period after being requested and after any required verification. Cadoo Points are not a bank deposit, are not insured, bear no interest, and are the property of Cadoo; they cannot be sold or transferred to any other person and have no value except as provided here.

Expiration. Cadoo Points expire after 12 months of account inactivity (no activity that changes your Point balance), except where prohibited by applicable law, in which case unclaimed balances will be handled as that law requires.

9Cancellations & Refunds

a. Participant cancellation. If you are unable to continue a Challenge (for example, due to injury), you may request cancellation. Where Cadoo grants it, your entry stake is refunded to your Cadoo balance, less any non-refundable service, deposit, or processing fees already incurred. Cancellations are at Cadoo’s discretion and are not available once a Challenge has paid out.

b. Host cancellation. A host may cancel a Challenge they created; where this occurs, participants’ stakes are refunded to their Cadoo balances, less non-refundable fees. Host setup or processing fees are non-refundable.

c. Refunds are issued to your Cadoo balance and may then be withdrawn subject to Section 8. Disqualification or ejection for rule violations does not entitle you to a refund.

10Cadoo Premium (Auto-Renewing Subscription)

a. Auto-renewing subscription. Cadoo Premium is an optional, auto-renewing subscription offered on a weekly, monthly, or annual basis at the prices shown in the app at the time of purchase. Payment is charged to your Apple App Store or Google Play account at confirmation of purchase.

b. Renewal. Your subscription automatically renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the current period ends.

c. Managing & cancelling. You can manage or cancel your subscription anytime in your App Store or Google Play account settings; Cadoo cannot cancel a store subscription for you. Cancellation takes effect at the end of the current billing period, and Premium benefits continue until then.

d. Refunds. Subscription refunds are handled solely by Apple or Google under their policies; Cadoo does not process subscription refunds directly.

e. Benefits. Premium unlocks the features described in the app (including entries beyond the free-game quota and access to Premium-only Challenges). Premium is a convenience and status benefit only: it does not guarantee winnings, and it does not exempt you from league relegation for inactivity.

11Your Content & License to Cadoo

You are responsible for the photos, video, messages, profile information, and other content you post through the Services (“User Content”), and you represent that you have the right to post it. You retain ownership of your User Content. You grant Cadoo a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, reformat, publicly display and perform, and distribute your User Content solely to operate, verify, secure, and promote the Services, subject to the Privacy Policy. If you remove User Content, this license ends except for copies already incorporated into promotional materials or retained in routine backups or as required for legal, safety, or dispute-resolution purposes. Feedback and suggestions you send us may be used without restriction or compensation.

12Acceptable Use & Code of Conduct

You agree not to, and not to permit others to:

Violations may result in disqualification (with no refund), suspension, termination, and forfeiture of funds, at Cadoo’s discretion.

13Anti-Cheating & Fair Play

Cadoo requires fairness from all participants and may audit results. You may be required to submit additional proof of a submission within 24 hours of a request; non-compliance results in forfeiture of winnings and entry. Submitting fraudulent information violates this Agreement and may expose you to civil and criminal liability. Cadoo’s determinations on fair-play matters are final.

14Intellectual Property

The Services and all content we provide — software, designs, text, graphics, logos, and the marks “Cadoo,” “Cadoo Challenge,” and related names — are owned by Cadoo or its licensors and protected by law. We grant you a limited, revocable, non-transferable license to use the Services for your personal, non-commercial use. All rights not expressly granted are reserved. We comply with the DMCA and will terminate repeat infringers.

15Disclaimers

Health. Cadoo is not a medical organization and provides no medical advice. Consult a qualified healthcare provider before participating in any physical activity. You are solely responsible for participating only to the extent your health permits.

“As-is.” The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Cadoo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Services will be uninterrupted, secure, or error-free. Cadoo is not responsible for User Content, third-party sites or services, device or network failures, or any loss of data or winnings arising from them.

No guaranteed results. Cadoo does not promise any specific fitness, health, or financial outcome, and is not responsible for money you stake, win, or lose on the Services.

16Limitation of Liability & Indemnity

To the fullest extent permitted by law, Cadoo and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or data. Cadoo’s total liability for any claim will not exceed the greater of (a) the total fees you paid Cadoo in the 12 months before the claim, or (b) $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify and hold Cadoo harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Services, your violation of this Agreement, or your violation of any law or third-party right.

17Arbitration & Class-Action Waiver

Please read this section carefully — it affects your legal rights. You and Cadoo agree that any dispute arising out of or relating to this Agreement or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Delaware, and governed by the U.S. Federal Arbitration Act. You and Cadoo waive the right to a jury trial and to participate in a class action. Either party may bring qualifying claims in small-claims court, and Cadoo may seek injunctive relief in court to protect its intellectual property.

Your right to opt out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@cadoo.io with your name and account email and the statement that you opt out of arbitration. Opting out will not affect any other part of this Agreement.

18General

This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes not subject to arbitration will be brought in the state or federal courts located in Delaware. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. This Agreement, together with the Privacy Policy and any Challenge rules, is the entire agreement between you and Cadoo regarding the Services. The disclaimers, limitations of liability, indemnity, arbitration, and general provisions survive termination. Questions: legal@cadoo.io.
